- Services — refers to any IT infrastructure, network & security, technical manpower, testing & repair, help-desk, onsite support (including CAD/CAM), or any other service that we offer.

2. Scope of Services
- We will provide the Services per the specifications agreed upon in the proposal or contract.
- Any additional work beyond the agreed scope (e.g. extra features, revisions, changes) may incur additional charges.
- Time-frames and delivery dates depend on timely cooperation and deliverables from you (e.g. content, approvals, access). Delays from your side may lead to revised timelines.
3. Client Obligations
- Provide us with accurate, complete information, assets, credentials, and access required for us to perform the Services.
- Ensure that any content, materials, or data you provide does not infringe any rights of third parties (e.g. copyrights, trademarks, privacy).
- Comply with all applicable laws, including those relating to data protection, privacy, and intellectual property.
4. Payment Terms
- Payment amounts, schedules and due dates will be as specified in the service proposal or invoice.
- Unless otherwise agreed, a deposit or advance payment may be required before work begins.
- We reserve the right to suspend or withhold Services if payments are not received in accordance with the agreed schedule.

5. Intellectual Property
- All intellectual property rights, including copyrights, trademarks, patents, and design rights in the deliverables will be owned by Technovia Infotech Systems unless otherwise agreed in writing.

- We may (unless agreed otherwise) retain rights to display completed work in our portfolio or marketing materials.

- Both parties agree to keep confidential any information exchanged during the provision of Services marked as confidential or which by its nature should reasonably be understood to be confidential.
- Confidential information does not include information which is already public knowledge, was known to the receiving party before disclosure, or becomes known through no fault of the receiving party.
7. Limitation of Liability & Disclaimers
- Our services are provided “as is” and “as available.” We make no warranties, whether express or implied (including fitness for a particular purpose or non-infringement), except as may be expressly stated in writing.
- We do not guarantee that the services will always be uninterrupted, secure, or error-free.
- In no event will Technovia Infotech Systems be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, goodwill, or business opportunities) arising out of or in connection with the Services.
- Our total liability for any claim arising from these Terms shall not exceed the total fees paid by you for the relevant services.
8. Termination
- Either party may terminate the agreement upon written notice if the other party breaches any material terms and fails to remedy such breach within a specified period (e.g. 14 days) after receiving a notice in writing.
- Upon termination, you will pay for all work done up to the date of termination, including any non-refundable expenses incurred.
- We may also suspend or cease providing Services if you fail to make payments, or otherwise materially breach these Terms.
